The Registrar of Companies (ROC) has carried out an inspection of the Company on 03.09.2022 and found that the Company is maintaining its registered office at given address. However, the Company has failed to affix its name and address outside the office as required under Section 12 of the Companies Act, 2013.
It appears that the Company has not complied with the provisions of Section 12(3)(a) of the Companies Act, 2013. The ROC has issued Show Cause Notice for violation of the aforesaid provision and called the Company and its officers for hearing.
After hearing and receipt of reply, the Registrar has concluded that on the date of visit the Company was not complying with the provisions of Section 12(3)(a). Hence, the Company and its Directors are liable for penalty for the defaulting period. The Company and its officers were asked to pay the penalty amount within 90 days of the order.
It is pertinent to note that the Company must affix a board depicting Company name, address, CIN and GSTIN outside its registered office to avoid any legal actions.
